ArcelorMittal SA (MT) will allocate US$667 million to its share buyback program after selling 23.9 million shares in Vallourec SA (VK) at EUR 24.00 apiece, a transaction representing 10% of the French tube maker's capital.
"This step underlines our commitment to deploying capital in a way that delivers clear, measurable returns for shareholders," Genuino Christino, Chief Financial Officer at ArcelorMittal, said. "By realising value and returning the proceeds to shareholders through buybacks, we are converting a strong investment outcome into immediate, tangible benefits."
The sale was conducted through an accelerated book-building process to institutional investors. Following the transaction, which is expected to settle around May 21, 2026, ArcelorMittal will retain a 17.3% stake in Vallourec. The company has agreed to a 90-day lock-up period for its remaining shares.
This move reduces ArcelorMittal's holding from the roughly 27.3% it previously held but maintains its position as a significant shareholder with one seat on Vallourec’s Board of Directors. The steelmaker, which first invested in Vallourec in 2024, stated it remains supportive of Vallourec's strategy.

The transaction is part of ArcelorMittal's disciplined approach to portfolio management. The company has consistently focused on investing in high-return opportunities to build a more resilient business capable of delivering sustainable shareholder value. The proceeds from the sale will be returned to shareholders via the company's existing buyback program, reinforcing its capital return framework.
